2. Acceptance of Terms

By accessing or using Pendula's services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Service.

You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 years or older and have the legal capacity to enter into this Agreement.

3. Service Description

Pendula provides AI-powered financial intelligence services designed to recognize and adapt to variable income patterns. Our services include:

• Seasonal Financial Planner for individuals with variable income
• Veterinary Practice Financial Suite for clinic and hospital management
• Artist Financial Sustainability for creative professionals

Service availability and features may vary by subscription tier. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

4. User Accounts

4.1 Registration

To use our Service, you must create an account providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activities occurring under your account. Notify us immediately of any unauthorized access or security breach.

4.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

5. User Responsibilities

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Violate any applicable laws or regulations

6. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, design, content, and trademarks, remain the property of Pendula. These Terms do not transfer any ownership rights to you.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business financial management purposes during your subscription period.

6.3 User Data

You retain ownership of your financial data. By using our Service, you grant us a limited license to process this data solely for providing and improving our services as described in our Privacy Policy.

7. Payment Terms

7.1 Subscription Fees

Service fees are displayed in Singapore Dollars (SGD) and billed monthly or as otherwise specified. Current pricing:

• Seasonal Financial Planner: SGD 398/month
• Veterinary Practice Financial Suite: SGD 1,388/month
• Artist Financial Sustainability: SGD 1,488/month

7.2 Payment Methods

We accept major credit cards and other payment methods as indicated during registration. Payments are processed by secure third-party processors.

7.3 Billing Cycle

Subscription fees are billed in advance on a recurring basis. Your subscription automatically renews unless cancelled before the renewal date.

7.4 Refund Policy

We offer a 30-day satisfaction period for new subscriptions. If you are unsatisfied within the first 30 days, contact us for a full refund. After 30 days, fees are non-refundable except as required by law.

7.5 Price Changes

We reserve the right to modify subscription fees with 30 days' advance notice. Price changes do not affect your current billing cycle but apply to subsequent renewals.

8. Service-Specific Terms

8.1 AI Recommendations

Our AI provides guidance based on pattern recognition and data analysis. Recommendations are suggestions, not financial advice. You remain responsible for all financial decisions.

8.2 Integration Services

For services requiring integration with practice management or banking systems, you are responsible for maintaining those third-party connections. We are not liable for issues arising from third-party service interruptions.

9. Disclaimers

9.1 Service Availability

The Service is provided "as is" and "as available." We do not guarantee uninterrupted or error-free operation, though we strive for high reliability.

9.2 Not Financial Advice

Pendula provides financial intelligence and pattern recognition, not professional financial advice. We are not financial advisors, accountants, or tax professionals. Consult qualified professionals for specific financial decisions.

9.3 No Guarantees of Results

While our AI aims to provide helpful insights, we make no guarantees about financial outcomes. Your results depend on many factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by Singapore law:

• Our liability for any claim is limited to the fees paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for losses arising from unauthorized account access if you failed to maintain security
• We are not liable for third-party service failures or data breaches

Nothing in these terms limits liability for fraud, gross negligence, or matters that cannot be limited under Singapore law.

11. Indemnification

You agree to indemnify and hold harmless Pendula, its officers, employees, and agents from claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any rights of third parties
• Your use or misuse of the Service
• Financial decisions you make based on Service recommendations

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment. In case of termination for cause, no refund will be provided.

12.3 Effect of Termination

Upon termination, your access to the Service ceases. You may request a data export within 30 days of termination. After this period, we may delete your data per our retention policy.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. General Provisions

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Changes to Terms

We may modify these Terms at any time. Changes become effective upon posting, and we will notify you via email for material changes. Continued use after changes constitutes acceptance of modified Terms.
